Off-Limits Policy
Active Clients Vanguarde Search will not actively solicit or recruit any employees from a client organization with whom we have an ongoing or active search engagement. The off-limits period for active clients extends for a minimum of 12 months from the conclusion of the most recent engagement or as specified by contractual agreements. Past Clients For past clients where a search engagement has concluded, Vanguarde Search will refrain from recruiting employees of that organization for a period of 12 months following the last placement or service rendered unless otherwise agreed upon in writing. Client-Specific Agreements Any client-specific non-solicitation agreements that deviate from the standard 12-month off-limits period will be documented and honored according to the mutually agreed terms. Customized off-limits agreements will be recorded in the client contract to ensure clear and transparent understanding between Vanguarde Search and the client. Candidate Referrals Candidates placed by Vanguarde Search at a client organization will not be approached or solicited for other roles with different clients for a period of 12 months from the placement date. In instances where the candidate initiates contact with Vanguarde Search regarding new opportunities, the candidate's interest will be assessed while respecting the off-limits period with the client organization. Exceptions to the Policy Exceptions to the Off-Limits Policy may only be granted with explicit approval from the leadership team at Vanguarde Search and when aligned with the best interests of both the client and the firm. Exceptions will be carefully reviewed to avoid potential conflicts of interest and must be documented in writing to maintain transparency. Conflict Resolution Any potential conflicts that arise regarding off-limits practices should be promptly reported to the leadership team at Vanguarde Search. The leadership team will review each situation on a case-by-case basis and determine appropriate action in accordance with the firm's ethical standards and client agreements. Confidentiality All information regarding client engagements, candidate placements, and internal off-limits lists is considered confidential and should not be disclosed to unauthorized personnel or external parties. Employees must adhere to Vanguarde Search's confidentiality guidelines to maintain the integrity and trust of our relationships with clients and candidates. Policy Review and Updates This Off-Limits Policy is subject to periodic review to ensure it remains aligned with industry best practices and the evolving needs of Vanguarde Search. Any changes to this policy will be communicated to all relevant stakeholders in a timely manner.
